It actually gets more complicated than that. Microsoft sells two kinds of CALs for Exchange; Device Cals or User CALs. You either need a device cal for each machine or a user cal for each user.
It could be something real simple... IE... do you have a janitorial staff that cleans up over the weekend? If they need a place to plug in that vacume cleaner, they may not care that a server is already plugged in to that spot.
