My advice is to go down to the absolute bare bones. You don't need a hard drive, cdrom, soundcard, modem, network card etc etc for the computer to work. Take it all out. All you need for the computer to start up is the power supply...

Unplug anything you don't need (additional cdroms, harddrives, pci cards etc). This will hopefully free up some power for your hard drive and more importantly - your processor, so your pc hopefully won't restart.

I've never heard of a bios update that can update from a p2 to a p3. surely they're different bus speeds so the motherboard won't support it even with a bios upgrade(?).

It sounds like your drivers for your graphics card are not installed or are corrupt.
Go to your graphics card's website and download the latest drivers. Install the drivers and restart. I would be suprised if it was still doing it.
There are data recovery programs out there that will do the job. Have a look in a few retailers and I'm sure you'll find one suitable. The only downside for you is you'll have to pay for it.
