The 1140 you are having trouble with has almost certainly got SiP firmware on it - sounds like you need it to have the proprietory Nortel UNISTIM firmware for use on the CS1k/BCM platform.
Does the firmware filename on the phone look like this (SiP)?

i had this exact same problem, created the config file as you have above in notepad and saved it as .cfg - but, notepad automatically saved it as the following file:
1140e.cfg.txt
(in my case i was converting 1140's to SiP for a lab experiment)
