Well I tried the KB article 32896 and it didnt work. So they sent me to another kb article which was 292175. This article shows you how to do an in-place upgrade. I did it and it WORKED!!!! So give it a try and I hope it works for you also.

One of the things I would do before I re install XP to make sure all the OS files are correct is to go to run and type in sfc /scannow. This will verify all the xp protected files and make sure they are alright.

I would do the same thing and change the power supply, but first change the power supply cord just to make sure its not defective. I would also check the surge protection that you are using to make sure your not getting spikes.
