Wonder the reason MS is going to ask such a low price initially for Win8, I think it is excellent at such a low price, I will be buying a few installs. The more I work with it the more I discover that Win8 is quite good.
Mind you just the upgrade, rather than the full retail version, though there also sees to be chatter about the prerequisites being fairly easy to cover.

Ignorance is not necessarily Bliss, case in point:
Unknown has caused an Unknown Error on Unknown and must be shutdown to prevent damage to Unknown.
I also question this being an "upgrade" because it looks like Windows 8 represents a shift to a different kind of product than we're used to in a desktop OS.
I'm only seeing $40 too, at least from reputable sources.
Do not be surprised if this turns out to be a "capture" tactic. If you don't like it, going back may require a full format/reinstall of your old OS and some pain getting there.
Another thing to note is that Win8 seems to tweak your BIOS settings in a way you may not appreciate. The idea is to skip over BIOS splash screens and boot delays you normally use to bash the DEL, F12, etc. to get into the BIOS. This makes Win8 (or any OS) appear to "boot faster" but it can also make it darned hard to get to your BIOS settings.
From what I read, you have a choice to upgrade or to do a clean install. I have been working with this when it first came out up to build 8400 & I have no problem customizing it the way I want, for under $40 why not. I find no problem entering the bios before Windows boots & I have this on 3 computers, some showing age but still running pretty good. imho
