Here is what wound up fixing the problem. Had nothing to do with the Site Server. The Software Metering box was NT4.0 so I nuked the OS partition and put Win 2k Server on it, had the site server re-establish it as a metering server and Poof all the problems went away and all is working nicely...
I had thought possibly about the mem modules, but nothing else is affected, the sql services stay running, etc... Just the one SMS Service.. I will look into the mem just to be sure...

Yes you are right Bronto! I could mount the EDB that was in service when the IS corrupted, but I COULD NOT mount the copy of the EDB that was "repaired" via MS's instructions to repair the EDB.. I thought that rather ironic.
Ok.. I have been pointed to some breakthrough software. It is not cheap, but it will allow you to mount a priv.edb that is not mountable by Exchange. You can then copy information from any of the mailboxes out to a PST file or out to a functional Exchange Server.
