OK This is embarassing.
On the back of the two netstats just went back into manager.
There is a tick mark to Enable BootP and TFTP servers. It was unchecked. I have never had to check this box before.
In any case of course not it is working perfectly.

I found another interesting thing. When I run a netstat -a on the server 2003 computer i get:
UDP 172.20.1.38:69 *:*
On the Server 2008 R2 computer it is not listed at all.
It appears that maybe the tftp does not work on 2008 R2 even though everyone keeps saying...
