    Disable autoprotect if using Norton Antivirus, or any form of antivirus. Usually you will get an "isset error" when autoprotect is running.

    Have those Nics been used on other laptops before, have you tried swapping with a known working Nic to verify the integrity of the card, if so then my appologies. I have had similar problems, and deduced that it maybe the card itself. But my true belief is that the MAC address is recorded...

    Win98 hangs when shutting down

    Diable virus check in the Bios, ensure CDrom jumper setting is not set to csel. I have found that the shutdown procedure in most cases are indirectly related to hardware misconfigurations.
