So my firm is currently running an NT 4.0 domain, utilizing NDS for NT in a Netware 6.5 environment, so no SAM.
I have a requirement to UPGRADE our current NT 4.0 domain to AD. eDirectory has to remain in the environment for another year or so, and I cannot migrate to a new domain.

Are you able to use Computer Management on DC1, and remotely
Manage DC2?
If not, check the 'Remote Registry' service on DC2. Might be turned off, which I think is required in order to manage DNS remotely.

You will need to join the Exchange server to the .local domain, as that is where Active Directory resides.
You can however except mail to and from your .com address, and assign users a default of <YourDomain>.com email addresses.
Losing your Primary DC can be a pretty big ordeal. Have you been able to move the FSMO roles over to the other DC?
Are you unable to restore the failed DC? Do you have a good backup? If so, I would definitely try re-introducing the primary DC back into the mix.
If both routhers are multihomes, you could just run a cross-over cable between them, on a completely different subnet. If you're at all concerned with security in this scenario, it might be the better route to take.

Our core switch is a 3750. We just purchased a 2960 with a GLC-SX-MM GBIC transceiver. Our 3750 has 1000BASE-SX GBICS. We are using 50/125 MultiMode fibre.
I have set 'SPEED NONEGOTIATE' on both ends.

If it is simply a front-end server, that may be overkill. Just make sure you have a good system-state backup. If the worst happens, re-building a Front-End server is a snap.

How are your queues looking? If the queues are looking clean, it sounds like it could be a congested network. Make sure everyone is patched, and updated on the virus defs.

When you say you made "exchange serv as smart host " I assume you are talking about the server on the 192.168.1.x network?

You should enable message tracking. You can then query the message tracking service for all mail sent to the PF. As far as getting a nice presentable report for the rest, I think you are going to need to look at 3rd party options. Can't think of any off the top of my head...
