In-place upgrades are not a bad thing, it is always best to start from a clean environment but that is not real life. I have done multiple in-place upgrades for clients, if they are planned correctly everything works as expected.

You need to install the .Net admin tools to administer a 2000 Domain. The .Net admin tools are currently in beta 3, so you will be installing them at your own risk. You can download them from the MS web site.
Installing Exchange 2000 on a production network to learn is not a good idea. Exchange 2000 requires modification to the Active Directory Schema. If you want to learn about how to install and use Exchange 2000 I would recommend you install it in a test bed environment first.
