Welcome to the desperate world of VIA users! There's a major issue with the VIA + Win XP + Ge Force cards, I am surprised you are unnoticed. Anyway, update the VIA 4 in 1 drivers (1437b) solve my problem, but it does not work for everybody. Look in the VIA forums (http://forums.viaarena.com/)...
Well, it seems that I am not the only with the "Nvidia loop" problem. Anyway, it appears to moderate when I add more ram to the system (576 Mb) and lower some of the details.

0. Uninstall modem (Hardware and driver).
1. Install the card into a different PCI slot. Install the W2000 drivers for the speakerphone modem; they didn't work.
