Windows ME shut down problem related to cable modem

I'm having a problem with Windows ME going to a black screen and not shutting down properly. This is a new system build AMD 1.2 Ghz system. I've gone through the normal trouble shooting through msconfig as well as shutting down all active programs and applying all of Microsoft critical updates.
I finally traced it down to either the network card or the cable modem. When I unplug the NIC from the cable modem it shuts down perfectly every time. Has anyone out there heard of this problem.
I'm using a Realtec NIC and a BestData modem.

Most of the shutdown problems I've experienced in ME had to do with either a Sound Blaster Live card or with PCI 2.1 being controlled by the OS or by the BIOS (this is on an ASUS CUSL2-C Mobo).

Is this a USB cable modem? Have you checked the various USB option in your motherboard? J.R. Juiliano

I changed out the NIC. All is good!
