win 98 upgrade

I am planning to upgrade win 98 to XP Pro/W2k for about 12 machines. Could anyone point me to what OS should I consider.
When I visit websites there are lot of versions like Windows 2000 Pro Full Retail Box Version ,Windows 2000 Pro SP/2 Full DSP/oem (3-Pack) ,Windows 2000 Pro, Retail Up-Grade Version etc..etc..I am getting confused with what to buy and what not to buy..Could anyone point me in right direction and help out with some places for cheap deals and also explain about difference of above versions.

If these are work machines, do a clean install do not ugrade them. Deploy them one at a time to work out any bugs.
I recommend XP pro, full not the upgrade.

I don't know much about these things....but it occured to me you should look at the license/EULA... on these OS's.....as I "think"....some will allow you to install the same one set of CD's on a specified number of machines(ala 1-12, 1-50?)......It's probably XP-pro i'm thinking of.....
 
Just Some Info which may be useful.
Microsoft produces 3 versions :

1. an "Upgrade" version: You can run Setup from within any previous
Windows version or from DOS, as long as you have the installation
media of a previous Windows handy during setup

2. a full version: You can run Setup from within any previous
Windows version or on a clean formatted hard disk. No limitation!
(about 200 $).

3. an OEM version: You can run Setup only on a formatted hard drive.
This version is not sold in retail stores, it should be sold only in
conjunction with new hardware. You normally cannot install this
version as an upgrade.

The contents of all these versions are exactly the same. Only the
setup routine is different. Microsoft supports all versions but the
OEM version directly. OEM support is only given by the hardware
manufacturers, who bundle this versions with their hardware.

In addition to these Microsoft versions some computer manufacturers
create their own OEM versions and/or so-called "Recovery"-CDs.

Regarding EULA ..I am looking in to it..If anybody knows information about group licensing let me know.

Carrying on from what Jontmke said do a clean install, i tried doing an over the top installation and it seriously messed up my machine 70% of my programs did not work afterwards, it kept crashing, and for some reason kept losing my motherboard drivers

so please for your own health and sanity take Jontmke's advice
