We are using win2K server and now we have offer for free upgradation with win 2003. Could you please write some thing about win 2003. Is it good idea to upgrade, advantages and disadvantages etc etc

"Upgrading" in the past was generally not considered the best method to use. A "clean install" is typically a better idea to avoid inheriting problems from the previous OS (such as upgrading from Win95 to Win98).
But in reference to Windows Server 2003, it is built directly on the Windows 2000 Server platform, only enhancing and adding a dozen or so features. I would feel that it is safe to merely upgrade in this situation. Just be sure to make full system backups before you make the change.

Thanks cdogg, sorry for miss understanding actualy here upgrading mean switching to win 2003, (its my fault i used word up-grading).
So you recomend it. We have meeting in 2-days and we will discuss weather we switch to win 2003 or not and what positive thing and what negative we will have.
Another factor to consider is if you are currently running Exchange Server 2000 (and how many) If you switch to Server 2003, you will also have to update to Exchange 2003. What will it cost to update Exchange?
