Where to find W-7 upgrade for best price?

After doing a search on Shopzilla.com for the best price on Microsoft 7 Ultimate upgrade, they came up with a price of $79.99 from an outfit called NowBiz88. [

] Their blurb reads that what they're selling is "VLK Volume licensed, EULA license is on disk." Since this is substantially cheaper than the others on the list. Two questions:

1) What do those qualifiers above mean?
2) Any recommendations on where I can buy at the lowest price the Windows 7 upgrade (from Vista), as well as a copy of MS Office Small Business 2007?

This is an illegal/counterfeit version. I would expect Newegg to be one of the cheapest for both products.

I think I've seen this kind of "deal" before and thought it fell into the category of "If it sounds too good to be true...." I was just curious about what the double-talk meant.
