WAN Miniport (IP)...serious problems...help

I get an error message that my server has at least on device or driver that has failed...everytime I start it...I think that I have narrowed it down to the WAN Miniport (IP) listed under network adapters in device manager. When I try to uninstall it I get a response that I cannont, because it is needed to boot the system...when I update the driver it tells me the current driver is fine...I believe that this is the reason a few of my services will not start (all of the services for RIS) does anyone have any insight on this? where I should look for a resolve?
 
Have you installed strange things like WinProxy?
 
Not winproxy. We have alot of services running on the server. All have been running since its 'birth' and the problem services were working. We have DHCP, DNS, AD, GP, SQL2k, IIS, and all the regulars.
 
Is this device attached with SCSI cable? Or does it normally come up where you see it in the systray on your desktop? Did it come with management software and can you remove it that way?

Not exactly sure...that is the problem. I believe it is part of one of the two NIC's installed on my server. It does not show anywhere, aside from device manager. It is listed within the network adapter node of device manager, with an exclamation mark next to it. When I try to remove it I am told that the "device cannot be removed because it is required to start up" my system.
 
Does it appear in safe mode? Can you remove it that way?
By the way, run ntbackup.exe and make a quick registry backup first...
