upgrading nt4 pdc to 2003

I don't have too much knowledge about AD, 2003 etc
we have one pdc, one bdc(runs exch 5.5 sp3) nt4 servers.
We have 35 users (a small lan). We want to upgrade everything to 2003. Now, does an in-place upgrade of our pdc mean that we automatically switch to AD in the organization?

Far as I'm aware it is pre-requisite of windows 2003 server. Seems silly I think on the number of users though I know.

I have lost links to MS about NT4 to 2003 migration. There are still active links on MS site about the whole process.
