Just off the top of my head, the OS will change from Windows NT to Linux which is less susceptible to security issues. You will also be able to administer the voicemail via F983 instead of the browser. There are enhanced conference and wireless mobility features. Try the link for more info.
Also if you are upgrading to 4.0 and this is a system that you do not aways maintain. You probably want to run the System ID of the unit and compare what the KRS says it has and what the unit says it has as far as keycodes go. The reason I say this is because we ran across a new customer that upgraded a couple of months back and when they got the 4.0 keycode that is the only code that showed on the system. All the other codes he had, about 10k worth did not show on the KRS. Of course the people he originally got the unit from is know longer in business. Long story short if you have not heard, about 3 to 5 years ago there was a whole lot of bogus keycodes sold on the market somehow. These codes are not registered through Nortel so if you upgrade you will loose them. And it is a big pain trying to prove that the customer purchased them through a proper channels even if they did.
I highly recommend just changing to a new 4.0 HDD and purchasing upgrade auth codes for your keycodes. Multiple problems with upgrading process in the past.
I'd have to agree with bigblue42. We about tore our hair out about a week ago trying to upgrade a 3.7 to 4.0. The BCM would never take the upgrade keycode. When our supplier sent us a 4.0 hard drive the upgrade went smoothly and all keycodes were preserved.
