Unable to update .net framework or xml

In order to install CRM, I'm attempting to update .Net Framework to 1.1 with SP 1 and MSXML 4 SP 2. After numerous attempts to install and the install just hanging, I've found this in our app log:

The timeout waiting for the performance data collection function "PerfProc" in the "C:\WINNT\system32\perfproc.dll" Library to finish has expired. There may be a problem with this extensible counter or the service it is collecting data from or the system may have been very busy when this call was attempted.

I can't seem to install anything on this server.
 
Try the following;
- Use the resource kit tool EXCTRLST and disable the performance counters
- Re-attempt your installation

Performance counter errors tend to pop-up when you disable certain services in Win2K (man..sometimes MS kills me). I have had a similar situation before and this might just do the trick for you.
