What software are you running for virus protection ?
I have had problems with certain scan engine builds from Symantec and XP SP3 OS.
Have you tried an install with your virus protection fully shut down ? (Of course, do the test when you are not connected to the internet, and then re-launch your protection afterwards). That process worked for me.

it is probably designed to run in windows 95 or 98
you can tell xp to load it as a win 98 program
