System locks up when dialing out

I rebuilt a system using these components:
EPoX EP-8KMM3I
AMD Athlon XP 2500+ "Barton"
256 MB Crucial PC2700
40GB Maxtor HD
400W Allied Power Supply
"Elements" Fax/Modem (I believe the maker is PC Elements)

The system runs fine EXCEPT when trying to dial out. when the modem initializes, the computer locks up completly. Ctrl+Alt+Delete does not work. If I let it sit, it will usually restart it self. What could be causing this?
 
maybe a hardware conflict. move the modem to another PCI slot to see what happen.

also update modem driver if possible.

 
Tried that already (moving to different PCI slot). Also tried updating the drivers. That didn't work either. Thanks, though. Let me know if you have any other ideas.
 
Have you tried a different modem? The modem itself may be defective. What OS? Some old modems won't work with WinXP.
 
The previous modem was an AOpen FM56-PM, and it did the exact same thing as the new modem. Also, the OS is Windows 98 (gulp).
