My company wants to switch to win2k native but is afraid of AD messing up. So they want me to pull one DC off line switch to native mode if it works bring the other DC on line. Will bringing the 2nd DC on line that is still mixed mode get replicated to native mode or will it case problems?

Thanks

The change will be made and then replicated to other DC's so the replication will occur next time you reboot the offline DC. It's a very quick easy procedure but will require some reading a thought before making the move as it cannot be reversed.

There is no more NT machines on the domain just 2 win 98 machines that use an old dos program that I am told by my Lead admin that it will not work in 2k or xp. I should be able to run the AD Client on the 98 machines.

Raising the domain function level only affects the way DC's communicate it will not affect your client communication.
