Today, Network Associates announced that the Sniffer Technologies division will be acquired by Silver Lake Partners and Texas Pacific Group to create a new independent company called Network General Corporation. This is a very exciting day for Network Associates, our customers and our partners.

The proposed acquisition is subject to customary closing conditions, including regulatory approval, and is expected to close in early July. We want to assure you that together, Network Associates, Silver Lake Partners, and Texas Pacific Group are firm in our commitment to support all Sniffer Technologies customers and ensure a smooth transition to Network General. As a customer of Network Associates, you will continue to enjoy the benefits of world-class technology and the outstanding services that helped make Sniffer Technologies the choice for assuring network and application performance. Our goal is to make this a seamless transition for you.

The investors in Network General are excited about and confident in the future of the Sniffer Technologies business. Both Silver Lake Partners and Texas Pacific Group are the premier private equity investors in large-scale technology companies. They have built their reputations through investing for the long term in industry leaders, particularly in the technology industry. They are committed to a growth-oriented investment approach and making the continuous investments in research and development needed to extend our leadership in network and application management solutions. We intend to provide strong continuity by building upon the Sniffer employee base and management team that drives the business today.

As the market leader in anti-virus technology, Network Associates has expanded its security portfolio over the last two years to include industry-leading network and system-based intrusion prevention and anti-spam solutions. The sale of the Sniffer business accelerates the company's efforts to focus on its security strategy and align resources for continued growth and market leadership. With the company's McAfee Protection-In-Depth strategy, organizations are able to optimize business availability with pro-active security solutions that protect against known and unknown threats and malware. To reflect this strategic focus, the company plans to begin operating as McAfee once the transaction has closed.

We are excited about these changes, and are confident you will benefit from the launch of the new Network General, as well as the resulting focus on pro-active security solutions from Network Associates.

Our sales and service teams will be reaching out to you immediately to help with any questions you might have. We expect the transaction to close sometime in early July. During this time we will provide regular updates to you. Should you need assistance in the interim, please contact your local sales representative, distribution partner or regular technical support contact for more information.

Thank you for your continued support,

What goes around comes around they were Network General to begin with before NAI got there paws into them . To me they were a lot better in the old DOS days , hopefully they can regain there lost luster . They have people like Network Instruments breathing down there back with a stellar product at a price point a lot lower than Sniffer .

ever looked at the clearsight analyzer? Even wildpackets is getting closer and closer to Sniffer. As you said, back to the old days before the merged NGC and McAfee.

Nice thing is that the "New" company will by using the "old" NGC name. Still have a lot of stuff with the NGC logo's on it....mayby a possibility ro re-use it...:)

I think the comment about the price point is very close to home. Sniffer has been too expensive for what you get relative to the others such as WildPackets. It was even more apparent with the botched port of SNiffer wireless to the PDA that NAI did not want to put the resources into Sniffer anymore.

The new/old Network General has their work cut out for themselves. Even more so since the old NetXray crew bailed (mostly)

I am for anything that brings the price down. For me, I've always liked the product, but could not keep up with the cost. The price was a main factor in looking ofr and using other products. We shall see whta happens.

I know what I know and that's all I know. What I don't know I'll find out.

If you are worried about price then Network Instruments is a must look , I was looking at these and there 10/100/1000 hardware distributed device is like $2000 , a sniffer would be at least $6000 . The functionality seems great and the software for the console is all inclusive , you don't have to buy separate devices to look at VOIP or wireless ,they are all included with the console software which is like $3000 . Sniffer wanted something like $100K for like 8 distributed boxes .

Well I think Sniffer being back under Network General Inc control can only be a good thing.

Lets hope they start releasing new card drivers like an Intel Pro/1000 would be good.

I can't speak to the possibility of releasing new card drivers butI have tested the new Netasyst Distributed. It's DS Pro with more limited decodes (but does all the stuff the average perosn could ever need) and it's way, way cheaper. You can buy the software only and put it on your own platform. It does NOT do Gigabit, which I see as a major shortcoming but for 10/100 it appears to just be DS Pro with a much lower price tag.

I have not had experience with the new Wildpackets Omni product but until now NAI has had a better distributed system than anyone else (meaning it is truly distributed and scales well to large installs). That may be changing.

have you looked at the wildpackets site? they are offering a buy-back program for DSS probes, stating that NAI is ditching sniffer.............?

I don't think Sniffer is back under "Network General Control" NGC is gone.

Maybe the new company will be called Network General, but this is just a name.

Once a well respected name, the new people will determine if the name will regain respect.

Besides that if NGC was so great they would not have merged with mcaffee in 97.

Yes I do know I was there.

Hi rwullems,

Just saw the wildpackets webpage that mentions that NAI is 'ditching' Sniffer.

Very disappointing when a company resorts to FUD in an attempt to get market share.

I agree with you there. It is not a very nive way of creating market share.

I also don't agree on the term "Ditching Sniffer" that they use. It sounds like Sniffer is leaving the market, witch is not treu.

I don't know any people at wildpackets personally, but i do know some of them (or a lot?) com from the former NGC company.
Regards,
Robert

I'll go out on a limb here, but I think Net Gen should consider asking us opinionated ;-) and supporters of the product for our feedback. I'm sure we could enlighten and educate them.

I'm dying to find out how they are proposing to regain their lost markete share. I personally do not think price will do it alone. It has to be a combination of support, education, features and price point. Whew, I fell better now.

Ciao.

I've been voicing my concerns with my Wilpacket contacts about their current NAI FUD and it seems that they actually took the Net Gen ditching reference off the site.

Thanks Wildpackets.. [surprise]

I gave up trying to finish it.. the survey was was too long and generic
