SMGR License File

If anyone help me get an understanding of this, I'd really appreciate it. I'm at the 1 yard line of proceeding to virtualize my current System Manager (physical) server. I have what I think are all the steps, along with VMWare requirements. What I am confused about is the license file. On my current physical server, when I go into the web console and go under licenses I get brought to the WebLM home page. It says there are no product license files installed on this WebLM server. This is a single server and I do not have a centralized WebLM server so I don't know where else this would be. All the products in my environment use their own local WebLM. This server was installed as a 6.2 originally.
 
The SMGR doesn't need its own license file, it's free basically. You *can* use it to host the licenses of all your other equipment, but you don't have to. And it sounds like you aren't.

Are you able to take a SMGR backup from the physical server and restore it to the VMWare server if the versions are the same?

Also, what about ASM.. do those require license files? I'm looking at 2 of my current systems and they are not using SMGR as their license location so wondering if that would have been installed directly via the CLI or if that doesn't require one either, unless you have SIP licenses for a 3rd party app etc..
