Server Upgrade

I am starting to upgrade the servers on our LAN. Currently, there are 2 servers. One being the primary and one as a backup(both win2k). They are old and outdated for our needs. I have a new server which I want to install to replace the current PDC. I do not want to lose any user accounts or shares. I was hoping someone might be able to give me a few pointers on how to best do this project. I was not the admin during the initial server setup, and I have strong concerns that the current server is on its last leg. Any and all suggestions are welcome.
