Server Demotion and Join different domain

Hi
I have a server that is in a domain ex: abc.com. I am also running another domain xyz.com.

The server in domain abc.com is the only server and is also the DC running Windows 2003 AD. There is no Exchange in domain abc.com.

I need to demote the server to a member server and also change it's domain to xyz.com.

Any ideas on how I can accomplish this ?

the same way you dcpromo'd it to a domain controller, you dcpromo it down to a member srvr. Then you dcpromo it again and join it to xyz.com
