the AD Schema mmc shows the "Current Focus" as blank, and "The server is currently offline" I have three DC's so I tried the AD Schema at all three and they show the same. Any Ideas and or will this cuase a problem for adprep to take AD upto 2003?

Yes the AD Schema Snap-in is registered. the domain currently have three DC's and so I registered the snap-in at each of them just incase and I get the same result.

i would test SD via DCdiag,

e.g. DCDiag /v >DCDiag.txt

This will let you know if you have any FSMO role issues or other AD issues. Run it on one of your DCs.

You can also run
netdom query fsmo

from a cmd prompt and make sure it's pointing to the right server you think is the Schema Master.

I ran the dcdiag and came up with the following. Do you think this will cause me any problems in updating to AD 2003?

Domain Controller Diagnosis

Performing initial setup:
* Verifying that the local machine vantage, is a DC.
* Connecting to directory service on server vantage.
* Collecting site info.
* Identifying all servers.
* Found 3 DC(s). Testing 1 of them.
Done gathering initial info.

Doing initial required tests

Testing server: Default-First-Site-Name\VANTAGE
Starting test: Connectivity
* Active Directory LDAP Services Check
ee37e3c1-3d32-4360-9db0-c1168f7a09ae._msdcs.generalsheetmetalworks.com's server GUID DNS name could not be resolved to an
IP address. Check the DNS server, DHCP, server name, etc
Although the Guid DNS name

(ee37e3c1-3d32-4360-9db0-c1168f7a09ae._msdcs.generalsheetmetalworks.com)

couldn't be resolved, the server name

(vantage.generalsheetmetalworks.com) resolved to the IP address

(10.0.0.2) and was pingable. Check that the IP address is registered

correctly with the DNS server.

It seems your DNS isn't working or set up correctly. In any event, the above likely reflects the issues you are experiencing. AD relies very heavily on DNS.

Let’s take a step back. How is your DNS configured? Do you have AD integrated DNS or Pri / Secondary DNS? If manual Pri / Secondary, do you have DNS records for all DC's configured? Also, do you have reverse lookup zones created for your subnets?

Just a few questions to start ;)
