nw5.1 and mcafee netshield

i`m running netshield 4.50 engine 4.1.60 with the latest update.
1. is it normal for the cpu util to be about +84% all the time
2. to update i must unload netshield, update and then load it agian. when i unload netshield it get stuck on "terminating netshield" and it don`t want to unload the nlm.

You may be better off upgrading to the 4.60 engine. What is McAfee set to scan (reads, reads & writes etc...)

I would try disabling McAfee for a one-off backup and you may find that the utilisation goes down and your backups speed up. At my company, we have McAfee set to only scan writes as the workstation virus scanner checks reads from the server.
