New Win Nt 4 server installation and config

Installing a replacement win nt 4 server, sp6a, what is the best way for a novice to copy the info off of the original, now defunct server (which is still serving at the moment)
I am not so concerned with user information, but shared and non shared drives and directories.
Also are there any "known issue" regarding services - order of install, etc. I am wanting to install MS Proxy server as well after I figure out all the dhcp config, any help is appreciated

Bring your new server online and copy the files over the network. Are either of the servers Domain Controllers?

The new server has been configured as a PDC (by the hw vendor) - Can I demote it to a BDC while it is in a "stand alone" mode?
