new hardware....how to transefer AD controller

we have a win2k3 domain controller server on the network. as the same time this server runs Exchange 2003 server which is accessed also thru Internet i.e. Outlook web access.
we just purchased a new server to change the old one. How do we transfer everything to the new hardware with the same server name, with the same domain ...same everything. we don't want to take the image as the old server is having some issue with Windows 2003.

what is the best solution to make the new server as old one?
 
Hmmm.. you don't say why you're replacing the server, but have you thought about separating the roles and having one DC and one Exchange server? Exchange shouldn't be on a DC.

Good. we have still another servers together. one back up server and also a financial system server. we can make one of them a DC by transferring the role. but still how do you join the new server by totally replacing the old one and using the same name as the old one. the reason we want to change the server is the new one is just a better and latest server in regards to capacity. Old one is Pentium III, 256 MB memory bla bla, the new one is Pentium IV, 2GB memory etc.
 
dcpromo the old server to remove it as a DC, physically disconnect it from the network. give your new server the same name and join it to the domain, if it wont join to the domain, create a workgroup on that server with the same name as the domain. restart the server and then join it to the domain, dcpromo the new server.

the new server will take the account in the AD of the old server.

 
but what about the exchange server? the exchange server is on old machine with all data. this server is accessed by Internet users for POP3 access and Outlook Web access.
 
backup up the exchange stores, when you re-install exchange on the new machine run the /disasterrecovery switch, then restore the backups, run eseutil and mount the store. If the stores wont mount (and you have run eseutil), then run the exchange install gain as a reinstall. You are going to have to bring the server down for a while so if the users can't afford to lose conectivity for a time then this will have to be done on a weekend or evening.
