Motherboard dying?

I have a dell insiron 8000 laptop. The onboard nic failed last week. Was able to put an external on, backed up everything to a new laptop. When reformatting the hard drive it installed windows xp pro fine, which is what was on it before. Did all driver updates, flashed the bios etc. However I still cannot use the nic, neither of them. I installed win 2k pro which worked like a champ for 2 years and now my nic will get an ip address, but I cannot ping host or ip outside of the lan. The furthest I can get is to the gateway. Would I be correct in assuming this motherboard is shot? Also it is running very slow. Any suggestions?

My guess is firewall is blocking pings for securtiy.
