Okay I had a Dell 4400 and the motherboard went up so I was going to buy a replacement. The replacement is 200 bucks and everytime I called they were out of stock. I got fed up and decided to finally upgrade and get a really nice laptop which I did.

I have a problem I originally had 2 HD's an 80 gig and a 40 gig. The 80 gig was just storage so transfering those files will be no problem. The 40 gig had the OS on it and it also has a a good amount of files I want. I cant get to the HD cause I had put a passowrd on my windows XP log on. Does anyone here know how to bypass that so I can access the 40 gig through another computer?

You should have no problems copying from either disk using another PC. Whether it was a system disk or not. You should be able to set up a network (using a crossover cable) to connect the machines and get your files onto your laptop. Providing you have sufficient disk space.

However.

If you encrypted files on your old system you are in real trouble! I won't elaborate here.

You may need to take ownership of your files in order to access them in another system. if you do, yjis link should help.

You must be talking about the old Dell computer. Can't you take the hard drive and slave it in another computer and then simply get the data you want that way? If you arent booting up with this drive you can look at the files and get what data you want from it?
