How to add server to existing site and move mailboxes. 1

Thanks in advance for any assistance that may be provided.

I have a single exchange 5.5 server in a site. The problem is the server is also a BDC in an NT4 domain. To make my life easier I'd like to add a second exchange 5.5 server to the site so that I can move all the mailboxes to the second server and subsequently take the first one down. I want to do this to facilitate our migration to Windows 2003 AD. Has anyone gone through this and if so do you know of a source where I can find clear instructions?
