How do I setup direct network? 2

I have two computers,one has windows 98 - 500 cpu 128mgram
The other has windows ME -550cpu and 256mg ram!
I have two eathernet cards and a cross over cable for them!
I am on dial up service!
I want to connect the two together and use one as server to share the dial up and files!
I know nothing about this and am trying to learn!
