Select two objects, the lower the target, the upper the mask. The upper will have your gradient. Then from the Tranparency Palette Options button (>) Select: Make Opacity Mask. You will need two objects for your white faded box... a white box, and a gradient mask to fade it. I'd write more but I've got to run. Best of luck... Sef.
