Demote One, Resurrect Another

I have a 2003 Server with AD and Exchange 2003 on it. I would like to demote this server and promote another 2003 Server with AD. What's the best approach??

I would build the second as a DC and move the FSMO roles over to it. You can then use dcpromo to demote the first.
