Counting a specific character before a certain point in a string.

Uhg, I'm going to have to explain my whole problem. I need a function that will replace all spaces in a string with " AND " unless there is an odd number of quotation marks before the specific space and also after it. This might take some serious coding and I'm kind of new to PHP so I could use some help. Thanks.
