Really not sure what you are asking. If you buy the XP cd, why do you need to download it? (I don't think it is legally available for download...) If you just want to install it then removing 98 and doing a clean install is the best option. Even if it is an upgrade cd I think it will just ask for the 98 cd before installing.

No. The installation tears apart the installation files and merges the remains with hardware information into the actual operating system.

If your computer meets the minimum specs required for WinXP, then you shouldn't have any trouble installing it. Microsoft has a utility to run that will look at your hardware to see if it is compatible with WinXP. I suggest you get it before investing in a new operating system
