Copying folder structure with permissions, no files

I am trying to find a way to copy folder permissions from one share to another. JUST the folders, no files. I have been playing with xcopy and robocopy for hours now and it isn't doing what I want.

Any help is much appreciated.

SCOPY copies NTFS permissions along with the files and I have used this successfully on several occaisions. About skipping the files, I am not sure how to do stgructure only. It is from the NT Resource Kit.
