comdlg32.ocx - could not be loaded

I am trying to load a project in vb5 (WIN 95), but am told that ...\COMDLG32.OCX could not be loaded. I tried to check MS Common Dialog Control 5.0 (SP2) in project/components, but am told that the object library is not registered. I added comdlg.dep/dll/oca/ocx to system32 on my c drive and tried to do a regsrv32 on the dll but was told that the load library failed - getlasterror returns 0x00000485. What am I doing wrong? Is there something on project/references I need to do?

Any help would be appreciated.

Run REGSVR32.EXE /u COMDLG32.OCX to unregister the contorol or
REGSVR32.EXE /v COMDLG32.OCX to register it !!! should display a
messagebox stating the control is registered.
