The first step is to make sure your drivers and windows update is up to date. This includes SP1 for XP.
If this is done, check what programs you have running in the background and start disabling them until XP shuts down successfully. ~Apex1x

Look in Event Viewer logs for a clue as to what's causing it.

For Shutdown problems in XP try this site.
For Event Viewer help see Help and Support program.
If you double click on any error (or any other entry) you will get more information, including a Microsoft link, which you can try.
You can also take your Event error here for further information.

One of the references in this thread indicated the "telephony" service might be the source of a slow shutdown problem. That proved to be the case for me. I disabled it. The penalty I pay is that I can no longer use Windows fax service. Fortunately this did not interrupt my cable modem function. FYI.
