3.2.54 403 (trying to get 3.2.59) and can get in as admin and in to security settings, but upgrade fails immediatley like its the wrong password. have upgraded this unit before with no problem. i did for the first time before default the unit via Manager, not the serial port.

can login to 403 but cant upgrade it

This is actually quite common.
You need to use the password which the unit had before being on a 3.2 build.
Try password.
If that does not work use the DTE port and default the security settings.
