we want to use the postfix mail server to our ordinary email clients let say...call center agenst which they need an email account...rank & file clients in short

exchange will be for the corporate users, managers, supervisors and regulars...

Are both mail servers going to host mail for the same domain, or different domains?

You'll have to set one of them up to receive all mail for the domain, because an MX record can only point to a single host. I would point the MX to the Postfix box. Postfix will distribute any mail destined to users on that box and then pass any other mail to the Exchange box. The Exchange box should relay all of its outbound mail through the Postfix server.

wow thats a great idea sir...
can i have your mail or can you point me to a white paper so I can start it already...

TIA

The Postfix documentation is a good place to start...

Also, this Postfix book that I read is pretty good...

...there is also a new Postfix book coming out in October 2003...

In Exchange 2000, all you'll have to do is set up the Virtual SMTP Connector to relay mail through the Postfix server.
