Currently we just backup our ad/exchange/fileserver data to usb backup drives.
If it crashed, we would have to totally rebuild the server.
(its already in a raid..with a hotspare)

I was going to have another small server with just a single drive in it with the same os under Software Assurance Cold Server Licensing. This way i would have it configured, and turn it off. Then if something happened i would flip it on, restore the backup from the production server to it and be going again.

Ive been hearing alot about clustering lately, what are your thoughts on this? I need to read more on it when i FIND time.

You hit it with the last sentence, you need to read, lots, and do that first, then ask a specific question.
Answerring now would be pages long... which you would need to ... read

Well yea I know.

But which direction would you go in this situation?
I dont need an explanation of clustering cuz i can read that on google. Just wanting opinion on what you would do. And what you would not do.

You can't do clustering unless you're putting in two servers (you can't add an existing Exchange server to a cluster).

There are third party solutions such as DoubleTake and Never Fail that will do software based failover.
