Never upgrade the kernel. Always install using "rpm -ivh whatever kernel.rpm. Once you install you will have to edit /etc/lilo.conf to make sure that if it does not work you can get back to the old install. Go to the MD user forum and read the tip on installing the kernel. It works.

If you have an NT server that you have connected to the internet you would not setup internet connection sharing on the MDK box. Just DHCP. I am assuming that your NT server is acting as the DHCP server. If you have run internet connection sharing you probably have two DHCP servers running now...
