GOT IT!!! The problem is Norton Anti-Virus 2006 and the Office Plug-In. I disabled the Office application auto-protect and the connection is working fine.

Everything appeared to be installed fine, and no flags, but would not dial out under XP. Switched modems and everything works fine.

Is the modem XP compatable? I installed a new modem a year or so ago, that I thought was compatable, but wasn't.....

I have also been told that you can start the computer in safe mode and create a new user account with admin rights. Haven't personally tried it though....If anyone has I would be interested in hearing how it works out.

Is there an application that will tell what the proccesses (Task Manager)are that are running in Win XP? What processes have to be left running?

I just looked into the Task Manager and it shows this "hpzstw07.exe" is running on several occasions....WHAT IS IT?
