It prevents apps from overwriting shared dlls willy nilly. Rename the dll in winnt\system32 and in winnt\system32\dllcache and then paste replacement file in both locations.

I don't think a batch file will accomplish what you need. IP settings are stored in the registry. There are several aps out there that run in the sys tray and allow dynamic switching of IP settings. I can't recommend one of another but there are a couple I know of...
To start with, double check that you have enabled the offline files option.
Windows Explorer -> Highlight Local Drive -> Tools -> Offline Files -> Check that Enable Offline Files is selected.
