XP will not shut down properly/memory dump

I can never get Windows XP Pro to shut down properly. Just when it should power off, it does a memory dump and I receive the following Stop message:

Stop: 0X0000008E (0XC0000005, 0X8062A210, 0XF0A4AA50, 0x00000000)

Does anyone know what this means?
 
If it's just about to power off, then perhaps it's the power management drivers.

Does it do the same if you Restart instead of Shut Down?

Any related errors in the event log (Start -> Run, eventvwr)?

It might be worth making sure all your hardware drivers are up to date, especially the system ones.
