XP freezes after disconnecting from dialup internet

The box has to be physically shutdown and restarted.
All the latest drivers are installed?

Is this a "From day one problem" or has it recently started happening? If it only just happened try using System Restore to go back to an earlier time.

You could try using System File Checker to see if a corrupt System File is causing problems. [Description of the Windows System File Checker Tool (Q310747)].
