X5355 for PE2900

Are all the X5355's the same? We are looking at upgrading a PE2900 we have to a X5355 cpu. I can purchase this chip for a little over 1000 from cdw. Dell wants over 1700 for the same chip. cdw is the retail boxed with heatsink and fan.

Is there a difference in these chips? they are both 1333mhz with the same cache...im guessing all x5355's are the same...none have different cache levels, fsb's or anything else like that.
